These Terms constitute a legally binding agreement between you and the Company. Please read them carefully before using the Service.
ClearPass Resume Optimizer is an Artificial Intelligence (AI)-powered résumé optimization tool that analyzes uploaded résumés against user-provided job descriptions to generate Applicant Tracking System (ATS) compatibility scores, AI-assisted rewrites, and optimization recommendations. The Service is provided through the website and any associated applications operated by the Company.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.
Some features of the Service may require account registration. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You may use the Service solely for lawful personal career development purposes, including uploading your own résumé and job descriptions relevant to your job search.

The Service offers a Free tier at no cost, and paid Standard and Premium tiers at the prices listed at the time of purchase. All prices are in U.S. dollars unless otherwise stated.

Standard and Premium tiers are offered as one-time charges. There are no recurring subscriptions or automatic renewals. Payment is required before optimized résumé results are delivered.

ATS compatibility scores generated by ClearPass Resume Optimizer are estimates based on our proprietary rubric and are designed to approximate — but do not replicate — the exact scoring methodology of any specific employer's Applicant Tracking System platform.
The Company makes no guarantee or warranty that:
Premium tier results reflect the highest ATS score attainable through up to three AI refinement passes while preserving the accuracy and integrity of your submitted experience. Results will vary based on your experience, qualifications, and target role.
9.1 Company Intellectual Property
The Service, including but not limited to its name, brand, scoring methodology, pipeline architecture, AI prompts, rubric design, keyword extraction logic, and all associated software and technology, is the proprietary and confidential intellectual property of Excelsior Actionable Intelligence, LLC. All rights are reserved.
ClearPass Resume Optimizer is a trademark of Excelsior Actionable Intelligence, LLC. The Service is the subject of a pending patent application. Unauthorized reproduction, duplication, imitation, or reverse engineering of the Service or its methodology, in whole or in part, is strictly prohibited and may result in civil and criminal liability.
9.2 Your Content
You retain all ownership rights to your résumé and any content you submit to the Service. By submitting content, you grant the Company a limited, non-exclusive, royalty-free license to process your content solely for the purpose of providing the Service to you during your session. The Company does not retain, store, or use your content after your session ends.
9.3 Output Ownership
Subject to these Terms, you own the optimized résumé output generated for you through the Service. The Company does not claim ownership of your résumé content. However, the underlying methodology, scoring logic, and AI systems used to generate that output remain the exclusive intellectual property of the Company.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCELSIOR ACTIONABLE INTELLIGENCE, LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The Company's total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount paid by you to the Company in the twelve months preceding the claim, or $50.00, whichever is greater.
You agree to indemnify, defend, and hold harmless the Company and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, conducted in Atlanta, Georgia. You waive any right to a jury trial or to participate in a class action lawsuit.
The Company reserves the right to modify these Terms at any time. Updated Terms will be posted on the Service with a revised effective date. Your continued use of the Service after the posting of updated Terms constitutes your acceptance of the changes.
The Company reserves the right to suspend or terminate your access to the Service at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion.
